Terms and Conditions for Metropolia’s Online Shop for Continuing Education Services

General

These terms and conditions for Metropolia’s Online Shop for Continuing Education Services (“Terms”) apply to the use of and ordering, sale and delivery of the Services through the online shop of Metropolia University of Applied Sciences Ltd. (“Metropolia”), business ID 2094551-1 (“Online Shop”). For the purposes of these Terms, "Service" means the continuing education services and related services, products and other materials offered by Metropolia through the Online Shop ("Service").

The Online Shop may only be used by private consumers and business customers (the "Customer"). Please note only persons at least 18 years old may use and place an order through the Online Shop.

Customer must read and accepted these Terms before using the Online Shop.

When placing an order, Customer is required to provide his/her contact details and other information requested on the order form. Customer confirms that all information provided is correct and agrees to inform Metropolia of any changes to the information. When placing the order, the Customer is required to provide a valid e-mail address to which order confirmation and other information concerning the Service will be sent.

To the extent that the Consumer Protection Act (20.1.1978/38) applies to the sale of the Service to the Customer, and to the extent that these Terms conflict with the Consumer Protection Act, the provisions of the Consumer Protection Act shall apply.

Registration and confirmation of registration and delivery of the Service

The purchase of and registration for the Services in the Online Shop is made through the Eventilla Oy’s (business ID 2321609-0) event management system on the Eventilla Oy’s website. The Customer will be directed to Eventilla Oy’s website via Metropolia´s website. Eventilla Oy Privacy Policy (link).

An order confirmation will be sent to the Customer by email after the registration to the Service. The agreement for purchase of the Service is deemed to have been concluded once the order confirmation has been delivered. Some Services may require the Customer to meet specific pre-defined criteria, in which case the Customer will be requested to provide such information in context of the registration to the Service and will receive the order confirmation once the information has been provided. Metropolia shall review the information the Customer has provided to confirm that the Customer meets the pre-defined criteria and will send a separate confirmation of acceptance for Service.

In the event only a limited number of participants will be accepted to a Service, the participants will be admitted in the order of their registration. If the maximum number of participants is reached, Customer may register in the queue by submitting their contact information to Metropolia through Eventilla Oy's event management system. Metropolia will contact the Customers in the chronological order of their queue registration if a free slots become available. Registering to the queue does not form a binding commitment for the Customer to accept any place that may be offered at a later date.

The education service, any pre-material and student IDs and other information will be provided to the Customer when the registration period for the Service has ended unless otherwise stated by Metropolia. The materials and other information will be sent to the email address provided by the Customer. Books will be delivered by the delivery method chosen by the Customer to the delivery address indicated by the Customer. Delivery charges will apply as informed at the time of ordering.

Prices and other fees

The Customer shall pay to Metropolia the fee for the Service indicated at the time when the order for the Service was placed. The applicable VAT will be or is added to the prices as indicated, unless the Service is exempted from VAT. Prices are quoted in euro (EUR).

Possible additional fees for the materials related with Service will be identified separately with each Service.

Metropolia reserves the right to change the prices of the Service at any time by informing the new prices in the Online Shop. The changed prices will apply to orders placed after the price change. If the price of the Service is marked incorrectly (for instance due to spelling mistake) but the Customer should reasonably have understood the price to be incorrect, Metropolia has the right to correct the price, notify the Customer of the correct price and charge the Customer the correct price for the Service. If the Customer does not accept the corrected price, the Customer shall have the right to cancel the order.

Payments

Payment in the Online Shop shall be made through the Paytrail payment service offered by Paytrail Oy or by submitting invoicing details when registering for the Service. The payment options for each Service and the number of payment installments are mentioned in the registration form. For Services where the pre-defined criteria need to be met and assessed, only the invoicing option is available.

If the Customer has chosen the invoicing option, Metropolia will send to Customer the invoice once the Service has started based on the invoicing details transmitted to Metropolia via Eventilla Oy's event management system. Metropolia has the right to charge an invoicing fee. The invoicing fee does not apply to Services where the invoicing is the only available payment option. The payment term is 14 days net from the date of the invoice. Late payment interest is charged in accordance with the Finnish Interest Act (633/1982). Any collection costs will be invoiced separately.

If the customer chooses the Paytrail payment service, the service provider will forward the payment to Metropolia. In order to use the Paytrail payment service, the Customer is required to have the necessary credentials for the online bank. By using the Paytrail payment service, the Customer agrees to be bound by the terms and conditions of the Paytrail payment service.

Payment Service Provider

Paytrail Plc acts as a collecting payment service provider and is an authorized Payment Institution. Paytrail Plc will be shown as the recipient on your bank or credit card statement. Paytrail Plc will forward the payment to the merchant. For reclamations, please contact the website the payment was made to.

General cancellation conditions

The Customer has the right to cancel the order for the Service free of charge latest on the last day of the registration period for the Service, by using Metropolia´s cancellation form (LINK) or by otherwise providing equivalent information in writing to Metropolia’s contact person identified the registration confirmation. For Services that are cancelled after the registration period for the Service has ended, Metropolia will charge the full price of the Service. Notwithstanding previous, Metropolia will charge the full price of the Service if Metropolia has already provided or started to provide the Service to the Customer. In the event the Customer is not able to join the Service due to an illness, the Customer should contact Metropolia.

If the Customer is unable to attend the Service, he/she may, at no additional cost, nominate another person to attend the Service instead by informing Metropolia’s contact person by e-mail. Any pre-criteria for the Service must also be met by the replacement person. The participant cannot be changed after order confirmation or confirmation of acceptance, if applicable, has been sent to the Customer, if the Service is for the electronic delivery of digital content and Metropolia has already provide or started to provide Service to the Customer.

Special conditions for Consumer for cancellation, delivery and return of the Service

Notwithstanding the above, if the Customer who is a consumer within the meaning of the Finnish Consumer Protection Act (“Consumer”) has ordered the Service less than 14 days before the end of the registration period, the Consumer has the right to cancel the Service within 14 days of receiving order confirmation.

Metropolia may start to provide the Service before the end of the cancellation period if the Consumer has consented to this, for example by registering for a Service scheduled to start less than 14 days after registration, and has agreed that he/she has no right of cancel the order (i) for other than digital Service, once the Service has been fully completed, and (ii) for digital Service, once content has been made available to the Consumer.

If the Consumer chooses to cancel the order for the Service other than digital Service after providing the Service started but before the end of the cancellation period, the Consumer shall pay Metropolia a reasonable compensation for the Service provided, as determined by Metropolia on a case-by-case basis.

In the event the Customer cancels a Service that includes materials delivered by post or similar shipping methods, the Consumer is responsible for returning the materials to Metropolia and any costs related thereto.

Right to cancel the Service or any part thereof by Metropolia

If Metropolia cancels a Service or part thereof, such as an individual training day or part of a training course due to reasons attributable to Metropolia after sending the order confirmation to the Customer, Metropolia may offer the Customer an opportunity to participate in the corresponding implementation of the Service at a new date or, alternatively, Metropolia will refund the fees for the Service or the relevant part thereof already paid by the Customer.

Metropolia shall not be liable for any other costs incurred by the Customer due to the cancellation.

Service changes

Metropolia has the right to make changes to the content of the Service after the order confirmation has been submitted (e.g. the training leader may change, etc.) provided that the changes do not substantially affect the content of the Service. Metropolia will inform the Customers of such changes in advance within a reasonable time or as soon as practically possible by sending an email to the email address provided by the Customer.

Refunds

Metropolia will refund the refundable fees without delay, but no later than 14 days from the date of receipt of the cancellation notice. The refund will be made using the same payment method used by the Customer when paying the fees.

If Metropolia cancels the Service or any part thereof and no alternative Service is agreed with the Customer, Metropolia will refund the fees to the Customer in full if the Service is cancelled in full, and the outstanding balance if the Service is cancelled in part, unless in the latter case it is considered reasonable to do otherwise on a case-by-case basis.

Marketing communications

Metropolia is allowed to use the information provided by the Customer for marketing communications only if the Customer has provided his/her consent.

Liabilities

Metropolia shall provide the ordered Services in a professional and qualified manner. Metropolia shall be liable that the Service meets the description of the Service given in connection with the order or otherwise before the order confirmation is sent. Metropolia shall not be liable for the suitability of the Service or its content for the Customer's intended purpose or for the use of the information obtained in connection with the Service. Metropolia shall not be liable for any indirect or consequential damage or loss caused to the Customer. Metropolia’s liability for damages and losses shall be limited to the price paid by the Customer to Metropolia for the Service.

Force majeure

Metropolia shall not be responsible for delay or non-fulfillment of contractual obligations to the extent that this is due to force majeure. A force majeure is an unforeseen event that prevents or makes it unreasonably difficult to fulfill the contractual obligations within the reasonable time. Force majeure includes but is not limited to war, rebellion, natural disaster, general interruption of energy distribution, fire, a significant restriction on Metropolia´s operations imposed by the state budget or the government or an authority, strike, blockade, or other significant and unusual reason beyond Metropolia´s control.

Intellectual property rights

Property rights and all intellectual property rights, including but not limited to copyright, trademark, design rights, patents, domain names and trade secrets, and any applications therefor, to the material contained in the Service and provided to the Customer in connection with the Service shall remain the property of Metropolia. No rights to the Material is transferred to the Customer with the purchase of the Service unless otherwise expressly stated in these Terms or otherwise in writing. The Customer may download, save and store the material supplied in electronic form for his/her own non-commercial use and take copies for his/her own non-commercial use. Any other use, such as distribution or quotation, is allowed only to the extent and in a manner permitted by copyright law and other legislation.

Data protection

Metropolia complies with the current general data protection regulation of the European Union (Regulation (EU) 2016/679 of the European Parliament and of the Council, with subsequent amendments) and Finnish legislation.

Applicable law and dispute resolution

The Service described in these Terms is governed by Finnish law, excluding its conflict of law provisions. Any disputes arising out or in connection with the Service will be settled primarily by mutual negotiations. If the matter cannot be resolved amicably by negotiations, it will be settled by the Helsinki District Court.

A claim based on consumer protection legislation brought by a consumer against a business may also be heard by the district court in whose jurisdiction the consumer is domiciled or habitually resident.

Consumers can also contact the Consumer Advisory Services or refer the dispute to the Consumer Disputes Board.
